1. About Transza
Transza is a global payments infrastructure advisory firm supported by technology tools and orchestration capabilities for selected merchants.
Transza assists businesses in identifying, evaluating, and accessing payment service providers, banking partners, alternative payment methods, open banking solutions, foreign exchange providers, and related infrastructure providers.
Transza is not a bank, financial institution, payment processor, payment service provider, money transmitter, e-money institution, acquiring bank, or custodian of client funds.

2. Eligibility

You may use our services only if:

• You are legally capable of entering into binding agreements.

• You are acting on behalf of a legally registered business entity or authorised organisation.

• Your business activities comply with applicable laws and regulations.

Transza reserves the right to refuse service to any applicant at its sole discretion.

3. Nature of Services
Our services may include:

• Payments infrastructure advisory.

• Provider matching and introductions.

• Merchant onboarding assistance.

• Technical integration guidance.

• Infrastructure configuration support.

• Payment routing and orchestration technology.

• Reporting and operational tools.

Any provider introductions, recommendations, or platform features are provided on a commercially reasonable basis and do not constitute financial, legal, tax, investment, regulatory, or professional advice.
Clients should obtain independent professional advice where appropriate.

4. No Guarantee of Approval
Transza does not guarantee:

• Merchant account approval.

• Banking relationships.

• Acquirer approval.

• PSP approval.

• Open banking access.

• Processing volumes.

• Processing limits.

• Processing rates.

• Transaction acceptance rates.

All approvals remain subject to the independent review and decision-making processes of third-party providers.

5. Third-Party Providers
Many services available through Transza involve third-party providers.
Such providers may include:

• Banks.

• Acquirers.

• Payment processors.

• Open banking providers.

• Foreign exchange providers.

• Card schemes.

• Technology vendors.

Your relationship with any third-party provider is governed by that provider's own agreements, policies, fees, and requirements.
Transza is not responsible for the performance, actions, omissions, service interruptions, account closures, delays, or regulatory decisions of any third-party provider.

6. Merchant Responsibilities
You remain solely responsible for:

• Compliance with applicable laws.

• KYC and KYB obligations.

• AML and sanctions compliance.

• Tax obligations.

• Consumer protection requirements.

• Data protection obligations.

• Product and service legality.

• Accuracy of information supplied to Transza and third-party providers.

You agree to provide complete, accurate, and up-to-date information at all times.

7. Platform Usage
Where access is provided to any Transza platform, dashboard, portal, or orchestration system:

• You must maintain the confidentiality of account credentials.

• You may not attempt to disrupt, reverse engineer, or interfere with platform operations.

• You may not use the platform for unlawful activities.

• You may not use the platform in a manner that could harm Transza, its providers, or other users.

Transza may suspend or terminate access where misuse is suspected.

8. No Custody of Funds
Transza does not:

• Receive customer funds.

• Hold client funds.

• Control settlement funds.

• Operate escrow services.

• Act as a money transmitter.

Funds processed through third-party providers remain subject to the terms of those providers.

9. Fees
Certain services may be subject to:

• Subscription fees.

• Consulting fees.

• Setup fees.

• Success fees.

• Transaction-related fees.

• Other agreed commercial charges.

Applicable fees will be communicated separately and may be governed by additional agreements.
Unless otherwise stated, fees are non-refundable.

10. Intellectual Property
All content, branding, trademarks, software, materials, documentation, designs, and technology made available by Transza remain the exclusive property of Transza or its licensors.
No rights are granted except as expressly stated.

11. Confidentiality
Both parties agree to treat confidential business information disclosed during the relationship as confidential and to use such information only for legitimate business purposes.
This obligation survives termination of the relationship.

12. Limitation of Liability
To the fullest extent permitted by law, Transza shall not be liable for:

• Loss of profits.

• Loss of revenue.

• Loss of business opportunities.

• Loss of data.

• Regulatory action.

• Chargebacks.

• Fraud losses.

• Provider account suspensions.

• Delays in onboarding.

• Indirect or consequential damages.

The aggregate liability of Transza arising from any claim shall not exceed the fees paid by the client to Transza during the twelve months preceding the event giving rise to the claim.

13. Indemnification
You agree to indemnify and hold harmless Transza, its directors, officers, employees, contractors, affiliates, and partners from any claims, liabilities, losses, damages, costs, or expenses arising from:

• Your use of the services.

• Your violation of these Terms.

• Your breach of applicable laws.

• Your dealings with third-party providers.

14. Suspension and Termination
Transza may suspend or terminate access to services immediately if:

• Required by law.

• Fraud is suspected.

• False information is provided.

• Compliance concerns arise.

• These Terms are breached.

Termination shall not affect accrued rights or outstanding payment obligations.

15. Privacy
Your use of our services is also governed by our Privacy Policy.
By using our services, you acknowledge that information may be collected, processed, and shared where reasonably necessary for onboarding, compliance, service delivery, and provider introductions.

16. Amendments
Transza may update these Terms from time to time.
Updated versions will become effective upon publication on the website unless otherwise specified.
Continued use of the services constitutes acceptance of the revised Terms.

17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
